Terms of Service

These Terms of Service ("Terms") govern your use of the Daichi Procurement Solutions website and any engagement with the procurement services provided by Daichi Procurement Solutions Limited, a company registered in Nairobi, Kenya ("Daichi", "we", "us"). By using this site or engaging our services you agree to these Terms.

1. Services

Daichi provides procurement, sourcing, supplier management, logistics, and related advisory services. The exact scope, deliverables, fees, and timelines for any engagement will be set out in a separate written engagement letter or statement of work agreed between you and Daichi.

2. Quotes and proposals

Quotes and proposals issued by Daichi are valid for 30 days from the date of issue unless otherwise stated. Acceptance of a quote does not create a binding contract until both parties sign an engagement letter.

3. Fees and payment

  • Fees, retainers, and reimbursable expenses are set out in the engagement letter.
  • Invoices are payable within 14 days unless otherwise agreed.
  • Late payments accrue interest at 1.5% per month or the maximum rate permitted by Kenyan law, whichever is lower.
  • All fees are exclusive of VAT, which will be applied at the prevailing rate.

4. Client responsibilities

You agree to provide accurate information, timely approvals, and access to the records reasonably necessary for us to deliver our services. Delays caused by incomplete information or late approvals may extend timelines and incur additional fees.

5. Confidentiality

Both parties agree to keep confidential information received from the other party confidential and to use it only for the purposes of the engagement. This obligation survives termination.

6. Intellectual property

Daichi retains all rights to its templates, methodologies, frameworks, and pre-existing materials. Deliverables specifically prepared for you under an engagement become your property upon full payment of all related fees.

7. Independence and conflicts

Daichi acts as an independent procurement adviser. We do not accept commissions, kickbacks, or undisclosed inducements from suppliers. Where a potential conflict of interest arises, we disclose it in writing.

8. Limitation of liability

To the maximum extent permitted by law, Daichi's total liability arising out of or in connection with any engagement is limited to the fees paid by you for the specific services giving rise to the claim in the 12 months preceding the event. Daichi is not liable for indirect, consequential, or loss-of-profit damages.

9. Termination

Either party may terminate an engagement on 30 days' written notice. Fees and reimbursable expenses incurred up to the termination date remain payable.

10. Use of this website

You agree not to use this website in any way that is unlawful, infringes our or any third party's rights, or attempts to disrupt the site's operation. The content of this site is provided for general information and does not constitute professional advice.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya. Any dispute will first be referred to good-faith negotiation, then to mediation, and failing resolution to the exclusive jurisdiction of the courts of Nairobi.

12. Changes

We may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Continued use of the site or our services after changes are posted constitutes acceptance of the updated Terms.
